Terms of Use

Welcome to NetKey. These Terms of Use ("Terms") govern your access to and use of the NetKey platform and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using NetKey, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

NetKey provides a cloud-based RADIUS authentication platform for managing wireless network access, including:

• Pre-Shared Key (PSK) management for wireless networks
• 802.1X/EAP authentication services
• Device and endpoint management
• Authentication logging and analytics
• API access for third-party integrations

3. Account Registration and Security

3.1 Account Creation

To use NetKey, you must register for an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your use of the Services complies with applicable laws

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Transmit any malware, viruses, or harmful code
• Use the Services to infringe upon the rights of others
• Resell or redistribute the Services without our written consent
• Use automated means to access the Services beyond approved API usage

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the General Data Protection Regulation (GDPR) and Norwegian data protection laws.

You retain ownership of your data. By using the Services, you grant us a license to process your data solely for the purpose of providing the Services.

6. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with reasonable notice
• Suspend Services temporarily for emergency maintenance
• Modify or discontinue features with reasonable notice

7. Intellectual Property

The Services, including all software, designs, logos, and content, are owned by NetKey and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Fees and Payment

Certain features of NetKey may require payment. If applicable:

• Fees are as specified in your service agreement or on our pricing page
• All fees are exclusive of VAT unless otherwise stated
• Payment terms are net 30 days unless otherwise agreed
• We may modify pricing with 30 days' notice

9. Limitation of Liability

To the maximum extent permitted by Norwegian law:

• The Services are provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

Nothing in these Terms excludes liability for fraud, gross negligence, or death/personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

Either party may terminate these Terms:

• With 30 days' written notice
• Immediately for material breach that remains uncured for 14 days after notice

Upon termination, your access to the Services will cease. You may request export of your data within 30 days of termination.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Services at least 30 days before taking effect. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by Norwegian law. Any disputes shall be resolved by the courts of Oslo, Norway, unless you are a consumer entitled to bring proceedings in your local courts under applicable consumer protection laws.

15. Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and us.
